OVERVIEW

These Terms of Service sets forth the standards for using all We-Care.com Sites. We-Care.comis wholly owned by Internet Marketing Group, Ltd. Any provisions of this policy that apply to We-Care.com also apply to Internet Marketing Group, Ltd. For the purposes of this policy, "Site" and "Sites" refers collectively to all We-Care.com websites. "Cause" refers to any organization to which donations can be made through the Site. "Affiliated Cause" refers to organizations that have requested and received co-branded marketplaces from We-Care.com, and "we" refers to We-Care.com and Internet Marketing Group, Ltd.

By using the Site, Users agree to these Terms of Service. We reserve the right, at any time, to modify, alter, or update the terms and conditions in these Terms of Service. Modifications shall become effective immediately upon posting on the Site. Your continued use of the Site after amendments are posted constitutes an acknowledgement and acceptance of the Terms of Service as modified.

 

SITE VISITORS

Purchases and Donations

We-Care.com allows nonprofits, schools, and associations (Causes) to receive donations when their supporters shop online. In order for a portion of the purchase to be donated, the User must click through an appropriate page on the We-Care.com Site or through a We-Care.com Plug-In to be redirected to the merchant's site, where a qualifying purchase must be made.

User Registration

We-Care.com believes that using our Site should be easy. Registration is strictly optional, but if selected by a User, allows for enhanced features, including:

    • Tracking your contributions. (Please note: As Amazon.com only provides us with aggregate information for each Cause, we're unable to include Amazon.com purchases in your transaction history.)
    • Storing preferences, such as the Cause you are shopping for, so they don't need to be reset if you happen to clear your browser cookies or access the Site from another computer.
    • Receiving optional emails alerting you to opportunities for exceptionally high donations and special discounts offered to We-Care users.

    We-Care.com collects limited amounts of information on our registered users. To learn what information we collect and how we use it, please read our Privacy Policy.

    Use of This Site by Children

    The Site is intended for the use of adults. If we find that children under the age of 13 have submitted any personal information as a result of a registration, such information shall be disregarded and deleted. If you know of any information submitted by children, please contact us.

    Third Party Sites

    The Site contains links to other websites that are not owned or controlled by We-Care.com — most commonly links to Merchants and Causes. Please be aware that we are not responsible for the content or practices of such websites. In particular, all problems with a merchant — including billing, purchase, and delivery — should be addressed directly with the merchant. Similarly, a link to a Cause is in no way an endorsement of that cause by We-Care.com.

     

    PAYMENT & TRANSACTIONS

    Tracking Your Transactions

    Registered users can view their transactions in the Your Account section of the Site to keep track of donations and to ensure that merchants have properly reported purchases to We-Care.com. (Please note: Amazon.com's reporting does not allow for user-level tracking, and therefore any Amazon purchases will not be reflected in the Your Account section.)

    Transactions typically post within three business days of payment, though some merchants take longer. If you are a Registered User and notice a missing or inaccurate transaction that is not corrected within 15 business day after your payment has be processed, please contact us. We will contact the merchant and try to resolve the issue. (See Payment Exceptions, below, for details on transactions that may not show up in Your Account.) Please remember, Amazon.com purchases will not show up under Your Account.

    When contacting us to resolve a transaction error, please include the information found on your receipt, including the name of the merchant, purchase date, order number, items purchased, total price, and your contact information as you provided it to the merchant (name, address, phone number, and email address). Please do not include a credit card number.

    Payments to Causes

    We-Care.com pays Causes by check monthly. Payments are made approximately 90 days after a transaction occurs. This period allows merchants to credit returns and pay We-Care.com. A $10 minimum balance is required for payment to a Cause. Smaller balances will be rolled over to the following month.

    Payment for January is made in April.

    Payment for February is made in May.

    Payment for March is made in June.

    Payment for April is made in July.

    Payment for May is made in August.

    Payment for June is made in September.

    Payment for July is made in October.

    Payment for August is made in November.

    Payment for September is made in December.

    Payment for October is made in January of the following year (approximately 90 days after October 31.

    Payment for November is made in February of the following year (approximately 90 days after November 30).

    Payment for December is made in March of the following year (approximately 90 days after December 31).

    In rare cases, We-Care.com may delay payments to organizations if we are unable to receive payments from merchants.

    Commissions and Donations

    When users make a purchase after clicking through a Site, we receive an affiliate-marketing commission from the merchant or its agent. The Cause receives no less than half of that commission as a donation. As we do not charge Causes to participate or Users to use our site, the remainder goes to We-Care.com, allowing us to continue to offer our services and helping you help the Causes you believe in.

    Donation percentages listed on the site represent the amount that goes to the Cause (not the full commission amount). We-Care.com makes every effort to ensure the accuracy of these numbers. As merchants do change their commission frequently and often vary them by product or service, actual commissions and resulting donations may vary. We-Care.com has no control over merchant policies and is not responsible for variances in donations.

    Payment Exceptions

    Under certain limited circumstances beyond our control, We-Care.com may be unable to complete payments to Causes.

    • Organizations do not provide us with Tax ID numbers. We are required by law to obtain a Tax ID and report donations to the IRS. If after a good-faith effort We-Care.com is unable to obtain a Tax ID number from the intended recipient, we reserve the right to redistribute funds to other Causes in our system at our discretion.
    • Merchants and their affiliates fail to report a transaction to us. For privacy reasons, we do not have access to any activities you engage in once you leave a We-Care.com Site for a merchant. When you click through a We-Care.com Site or use one of our Plug-Ins, the merchant you visit receives an ID number. When we get a report from that merchant or their agent, that ID number allows us to match the transaction to the intended Cause. If, for any reason, the merchant or its agent fails to report the transaction, we will not have information to make a payment. If notified of a missing transaction, We-Care.com will make every effort to work with the merchant to reconcile the issue, but the final decision with regards to payment is that of the Merchant. If you notice a missing transaction, please contact us.
    • Merchants cannot verify a commissionable transaction. There are a multitude of reasons that a Merchant may be unable to verify a transaction, including but not limited to technological infrastructure of the merchant tracking systems, browser settings, corporate firewall settings, and interactions between anti-cookie software a user may have installed. It is the merchant's final decision as to whether to provide commissionable credit for a transaction.
    • Merchants reverse a transaction. Merchants sometimes reverse a transaction, usually because a purchased item has been returned. If a transaction is reversed, We-Care.com does not receive a commission and is unable to make a payment to the Cause.
    • Proper tracking information is not available. If after a good-faith effort We-Care.com is unable to determine the cause for which a donation was intended, We-Care.com reserves the right to redistribute funds to other Causes in our system at our discretion.
    • Merchants fail to pay commissions. If, for any reason, a merchant (or its agent) fails to pay a commission, We-Care.com reserves the right not to pay out the donation.
    • A User added a Cause that is not accepted by We-Care.com. For the protection of our Users, we review all organizations to ensure they meet the Eligibility requirements below. If the Cause is not approved, We-Care.com reserves the right to redistribute funds raised for it to other Causes in our system at our discretion.

     

    CAUSES

    Eligibility

    We-Care.com works with a wide variety of Causes, including charities, educational institutions, associations, faith-based organizations, houses of worship, humanitarian groups, political campaigns, health organizations, advocacy groups, and many others. We take great pride in providing organizations with the internet technology and services to help them raise money and strengthen constituent relationships.

    We-Care.com is non-partisan and does not take a position on its clients' missions, beliefs, or advocacy objectives.

    We seek to work with organizations that share our commitment to equal opportunity and nondiscrimination. We-Care.com will not work with groups that promote violence, hatred, discrimination, or racial or religious intolerance. We-Care.com will exercise its judgment in determining whether an organization violates the spirit of these principles.

    Causes must be nonprofits, schools, and associations incorporated in the United States or Canada. (Nonprofit status is not required.)

    In addition, the use of We-Care.com products or services for illegal purposes or in connection with activities that the company determines to be harmful to its reputation may be grounds for us to terminate our relationship with a Cause.

    Relationships

    We-Care.com has two types of relationships with Causes: Non-Affiliated and Affiliated.

    Affiliated Causes have formally applied for and received a co-branded We-Care.com Site, agreed to these Terms of Service, and agreed to work with We-Care.com in the customization and promotion of their co-branded Site. As part of the co-branding, each Affiliated Cause provides its logo, URL (if applicable), color choice, and organizational information to customize its Site. Affiliated Causes also give We-Care.com permission to promote its site using the phrase "We at [Name of Cause] have a trusted partnership with We-Care.com." Though there is a formal business relationship, it does not constitute an endorsement by either party by the other.

    Non-Affiliated Causes have no formal relationship with We-Care.com. They are included to give site visitors more donation options. Non-Affiliated Causes are either added by site users or by We-Care.com. Though a short description of each organization and a link to its website (if applicable) is included on We-Care.com for identification purposes, we do not give them a co-branded Site, use their logo, or partner with them for any purpose. We also clearly state on the site that We-Care.com has no formal relationship with the Cause.

     

    WARRANTY

    Though we make every effort to ensure that this site works perfectly at all times and all transactions are properly credited, there is always a possibility that a transaction will be missing or inaccurate due to technological issues or errors on the part of the User, Merchant, or We-Care.com. When notified, we will make every reasonable effort to correct inaccuracies, but We-Care.com is in no-way liable for any such errors.

    We-Care.com provides the Site and on an "as is" basis. To the fullest extent permitted by applicable law, We-Care.com makes no representations or warranties of any kind, express or implied, regarding the use of or the results from the site, in terms of the correctness, accuracy, reliability of any information contained therein, or otherwise. We-Care.com shall have no liability for any interruptions in the use of this site or the service. We-Care.com disclaims all warranties with regard to the site, the service and any related information provided, including the implied warranties of merchantability and fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties; therefore, the above provisions shall be limited to the minimum degree necessary to be legal in such jurisdictions.
